Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Elo sales intelligence platform, including the website at tryelo.com, our APIs, and the EloAI Chrome extension (collectively, the "Service"), operated by Elo Intelligence, Inc. ("Elo," "we," "us," or "our").

By creating an account, installing the Chrome extension, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of the Service

Elo provides sales intelligence tools for media sales professionals, including:

• Account and prospect research, company insights, and contact intelligence
• A Chrome extension that integrates with Gmail and LinkedIn profile/company pages
• Writing assistance and outreach suggestions within Gmail compose
• Subscription plans with usage limits as described at checkout or in your account

The Service may change over time. We may add, modify, or discontinue features with reasonable notice where practicable.

3. Accounts & Authentication

• You must provide accurate account information and keep it up to date.
• The Chrome extension uses Google sign-in (OAuth) to authenticate your account. You are responsible for maintaining the security of your Google account.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

4. Chrome Extension & Third-Party Platforms

When you install and use the EloAI Chrome extension:

• Gmail: The extension runs on Gmail pages you visit to provide compose assistance, recipient detection, and sales intelligence features. Data accessed in Gmail is used only to deliver features you invoke, as described in our Privacy Policy.
• LinkedIn: The extension may display intelligence on LinkedIn profile and company pages and may collect your LinkedIn profile URL during onboarding. Elo does not post to LinkedIn on your behalf.
• Google: Use of Google sign-in is subject to Google's terms and privacy policies in addition to ours.

Your use of Gmail, LinkedIn, Google, and other third-party services remains subject to those platforms' own terms. Elo is not affiliated with or endorsed by Google or LinkedIn.

5. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, or harassing purposes
• Scrape, reverse engineer, or attempt to extract source code or underlying models except where permitted by law
• Circumvent usage limits, authentication, or security measures
• Resell, sublicense, or redistribute intelligence outputs or access to the Service without authorization
• Use the Service in violation of applicable anti-spam, privacy, or data-protection laws

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.

6. Subscriptions, Billing & Refunds

• Paid plans are billed through our payment processor (Stripe) according to the plan you select.
• Prices, features, and usage limits are shown at checkout or in your account. We may change pricing for future billing periods with advance notice.
• You may cancel a paid subscription through your account or by contacting support. Cancellation typically takes effect at the end of the current billing period unless otherwise stated.
• Refund policies are described in our Refund Policy and at purchase or in your enterprise agreement.

7. Intellectual Property

Elo owns the Service, including software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription or trial.

You retain ownership of content you submit. You grant Elo a license to process that content solely to operate and improve the Service, subject to our Privacy Policy (including our commitment not to use your proprietary research to train AI models).

8. Intelligence Data & Disclaimers

Elo aggregates information from public and licensed sources and AI-assisted processing. Intelligence outputs are provided for informational purposes only.

• We do not guarantee accuracy, completeness, or timeliness of any intelligence data
• Outputs are not legal, financial, or compliance advice
• You are responsible for how you use intelligence in outreach and sales activities

9. Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Termination

You may stop using the Service and request account deletion at any time by contacting privacy@tryelo.com or through account settings where available.

We may suspend or terminate your access for violation of these Terms, non-payment, or extended inactivity, with notice where reasonable.

Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ELO IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Elo from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service and update the "Last updated" date above. Continued use after the effective date constitutes acceptance of the revised Terms.
